EXPERIENCE

In his 27 years with the firm, he has acted for banks and other lending institutions, preparing financing and security documents ranging from basic loan agreements to complex syndicated multicurrency facilities. He has handled stamping and registration for secured transactions and is widely experienced in corporate and commercial documentation.

He has served as transaction legal advisor in privatisations, mergers, acquisitions, takeovers and restructurings — often including due diligence, negotiations, advising on acquisition methods, and ensuring compliance with company, competition, tax, employment and privatisation laws.

He advised on several capital market transactions, including New Finance Bank Limited’s medium-term bond listing (2018), Britam Insurance Company’s delisting (2016), NBS Bank plc’s rights issues (2011 & 2017), NBS Bank plc’s IFC share issuance (2011), NBS Bank plc’s bonus issue (2010), and Packaging Industries Malawi Limited’s delisting (2011).

He was Legal Associate to the Transaction Legal Advisor during Old Mutual Life Assurance Society’s demutualisation and listing in 1999, and was legal advisor during the establishment of Malawi Agricultural and Industrial Corporation plc and CDH Investment Bank.

He handles conveyancing, drafting, litigation and corporate consultancy with equal proficiency, regularly advising clients on contractual, employment, inheritance, trust, pension and human rights matters, and is among Malawi’s foremost litigation lawyers, with a strong track record in the High Court and the Malawi Supreme Court of Appeal.
